Thanks for using ResponsibleFleet.com!  This is an agreement prepared to outline the Terms of Service that govern the relationship of all users of ResponsibleFleet.com (the “Site”) as well as its mobile applications and the services, features, content or applications (Services) offered by Responsible Fleet (“we”, “us” or “our”). We want you to understand your rights, and our rights, with respect to the usage of this website. This User Agreement sets forth the legally binding terms and conditions for your use of the Site and the Services. By using the Site and associated Services, you agree that you have read these Terms and will abide by this agreement. 

As a customer of Responsible Fleet, you agree to the following Terms of use:

Accounts
You are responsible for maintaining the security of your account. It is your responsibility to safeguard the login and password that you use to access the Services and you agree not to share your login and password with any third party. You are responsible for any activity originating from your account, regardless of whether such activity is authorized by you. Notify Responsible Fleet immediately of any unauthorized use of your account.

Services
Responsible Fleet may choose to modify or discontinue Services, including any portion of the Services as we update our offerings and add more features. In most situations, we will try to provide advanced notice of any changes that will substantially alter the way you interact with the Site or Services. However, we may stop, suspend, or modify the Services at any time without prior notice to you. 

Information describing the Services is accessible worldwide but this does not mean the Services or certain portions of the Services are available in your country. We may restrict access to portions of the Services in certain countries. It is your responsibility to make sure your use of the Services is legal in the country where you reside. The Services may not be available in all languages. If at Responsible Fleet’s reasonable determination, you are using the Services in a manner that violates laws, creates an excessive burden or potential adverse impact on Responsible Fleet’s systems, Responsible Fleet may, without liability, immediately suspend your access to the Site or Services.

Responsible Fleet may update these Terms from time to time. The most current version of these Terms will be posted on this Site with the “Last Updated” date indicating when it was changed. If we determine, at our sole discretion, that an update is material, we will notify you through the Service and/or by email to the email address associated with the Administrator for your account. If you do not agree to any change(s) after receiving a notice of such change(s), you should stop using the Responsible Fleet Site or Services. Otherwise, your continued use of the Services constitutes your acceptance of such change(s). Please check the Site regularly to view our current Terms of Service.

User Submissions
ResponsibleFleet.com enables users to submit content or other information that will be made available to other users (within your account) of the Site. You understand and agree that Responsible Fleet is NOT responsible for the content of user submissions. You are entirely responsible for the content of, and any harm resulting from, that content. Further, Responsible Fleet has no obligation to remove any user-submitted content, but retains the sole discretion to determine whether any user-submitted content violates Responsible Fleet’s Terms of Service. The company may take action, or no-action, based on that determination.
If you submit content or information to ResponsibleFleet.com, you represent and agree that:

• You are solely responsible for the form, content, and accuracy of any material submitted

• Your content is not prohibited by these Terms of Service

• Content will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark or trade secret rights, of any third party

• Content does not contain or install any viruses, worms, malware, or other harmful or destructive content

• Content is not spam, and does not contain unethical or unwanted commercial content, or to further unlawful acts or mislead recipients as to the source of the material

• Content is not obscene, libelous or defamatory, hateful or racially or ethnically objectionable, and does not violate the privacy or publicity rights of any third party
   

Your voluntary provision to Responsible Fleet of your cell phone number represents your consent that Responsible Fleet may contact you by SMS or MMS messages at that phone number, and your consent to receiving such communications for transactional, operational, or informational purposes. You may review Responsible Fleet’s SMS Terms of Service from the link in the footer of this page. You may unsubscribe from receiving text messages from Responsible Fleet at any time by replying “STOP” to text messages. If you need assistance, contact Responsible Fleet customer service at 866-477-4321. If you unsubscribe from receiving text messages from Responsible Fleet, you may continue to receive text messages for a short period while Responsible Fleet processes your request(s).

You are granting Responsible Fleet, LLC a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, translate, publish, display, and redistribute your content. If you delete content, Responsible Fleet will use reasonable efforts to remove it from the Site, but you acknowledge that caching or references to the content may not be made immediately unavailable.

Limitation of Liability
You agree to indemnify and hold harmless Responsible Fleet, and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the Site and associated Services, including but not limited to any violations of these Terms of Service.

Disclaimer and Non-Waiver of Rights
Responsible Fleet makes no guarantees, representations or warranties of any kind with regard to the Site and associated Services. Any purportedly applicable warranties, terms and conditions are excluded, to the fullest extent permitted by law. Your use of the Site and associated Services is at your sole risk.

The Site and associated Services are provided on an “AS IS” and “AS AVAILABLE” basis. The Site and associated Services is provided without warranties of any kind, whether express or implied.  Responsible Fleet does not warrant that a) the Site and associated Services will function uninterrupted, or be available at any particular time or location; b) any errors or defects will be corrected; c) the Site and associated Services are free of viruses or other harmful components; or d) the results of using the Site and associated Services will meet your requirements.

If any of these Terms of Service are violated, Responsible Fleet will be entitled to all rights and remedies, either immediately, or at a later date. Responsible Fleet, LLC does not waive any of its rights. A person who is not a party to these Terms of Service shall have no rights of enforcement. You may not assign, sub-license or otherwise transfer any of your rights under these Terms of Service.

Copyright and Trademark
Except with respect to your Data and your User Content, you agree that Responsible Fleet owns all rights for the Site, Services, and Content. Responsible Fleet’s software and other technology that may be used to provide the Services are protected by copyright, trademark, and other laws of the United States. You will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Site and associated Services. These Terms do not grant you any right, title, or interest in any of the Site or associated Services or any Content other than your data and your user content. These Terms of Service do not grant you any rights to use the Responsible Fleet trademarks, logos, domain names, or other brand features.
